THIS AGREEMENT (the “Agreement”) has been entered into as of June 20, 2007, by and among ATS Automation Tooling Systems Inc., a corporation existing under the laws of Ontario (“ATS”), Goldman Sachs Canada Inc., a corporation existing under the laws of Ontario (“GS Canada”), Goodwood Inc., a corporation existing under the laws of Ontario (“Goodwood”) and Mason Capital Management, LLC, a limited liability company existing under the laws of Delaware (“Mason”) (GS Canada, Goodwood and Mason being referred to herein collectively as the “Standby Purchasers”);
