PURCHASE AGREEMENT (this “Agreement”), dated as of June 16, 2006, is entered into by and among HQ Puno Ltd., a corporation organized under the laws of Canada (“Puno”), Hydro-Québec International Transmisión Sudamérica S.A., a sociedad anónima organized under the laws of the Republic of Chile (“Transmisión,” and with Puno, each individually a “Seller” and, collectively, “Sellers”), Hydro-Québec International Inc., a company incorporated under the laws of the Province of Québec (“Sellers Guarantor”), Rentas Eléctricas IV Limitada, a sociedad de responsabilidad limitada organized under the laws of the Republic of Chile (“Purchaser”), Rentas Eléctricas III Limitada, a sociedad de responsabilidad limitada organized under the laws of the Republic of Chile (“Purchaser Guarantor”).
