THIS AGREEMENT is made and entered into as of the 25th day of February, 2010, as revised May 20, 2010, by and between Capstone Investment Financial Group, Inc. (the “Adviser”), a corporation registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and Dunn Warren Investment Advisors, LLC, a limited liability company organized under the laws of Colorado (the “Subadviser”) and also registered under the Advisers Act, with respect to CIFG All Weather Fund and CIFG Strategic Opportunity Fund (each a “Fund” and collectively the “Funds”), each a series of the NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”).
