Agreement and Plan of Reorganization, dated as of the 25th day of July, 2011 (“Agreement”) by and between James Alpha Global Real Estate Investments Fund, a Delaware statutory trust (the “Acquired Fund”), Saratoga Advantage Trust, a Delaware statutory trust (the “Saratoga Trust”), with respect to the James Alpha Global Real Estate Investments Portfolio, a separate series of the Saratoga Trust (the “Acquiring Fund”), and Ascent Investment Advisors, LLC, a limited liability company (the “Adviser”).
