WHEREAS, the Advisor renders advice and services to the Funds pursuant to the terms and provisions of an Investment Advisory Agreements between the Trust and the Advisor dated as of the 11th day of December, 2012 with respect to BTS Hedged Income Fund and the 6th day of February, 2013 with respect to BTS Tactical Fixed Income Fund, (the “Investment Advisory Agreement”); and
