The Company has also entered into a separate sales agreements (“Alternative Sales Agreements”), dated as of even date herewith, with J.P. Morgan Securities LLC, KeyBanc Capital Markets Inc., RBC Capital Markets LLC and Wells Fargo Securities, LLC (the “Alternative Managers”). The aggregate offering price of the Shares (as defined below) that may be sold pursuant to this Agreement and the Alternative Sales Agreements, collectively, shall not exceed $300,000,000.
