This SHARE PURCHASE AGREEMENT (this "Agreement") is dated as of January 21, 2013 between LDK Solar Co., Ltd., an exempted company incorporated and existing with limited liability under the laws of the Cayman Islands (the "Company"), and Fulai Investments Limited, a company incorporated and existing with limited liability under the laws of the British Virgin Islands (together with its successors and permitted assigns, the "Purchaser").
