This Share Purchase Agreement is entered into as of August 19, 2013 (this “Agreement”), by and between Nistec Ltd., a company incorporated under the laws of the State of Israel (the “Buyer”) and Merhav M.N.F. Ltd. (“Merhav” or the “Seller”) . Each of the Buyer and the Seller referred to herein individually as a “Party” and collectively as the “Parties”.

The undersigned hereby agree that the attached Statement on Schedule 13D/A relating to the Ordinary Shares, NIS 0.6 nominal (par) value per share of Eltek Ltd. is filed on behalf of each of them.
