This Guaranty Agreement (the “Guaranty”) is made as of June 1, 2022, jointly and severally by and between each of the undersigned (each, a “Guarantor,” and collectively, together with any additional parties that from time to time may become a Guarantor pursuant to the terms of the Loan Agreement described below, the “Guarantors”), as guarantors, and U.S. BANK TRUST COMPANY, NATIONAL ASSOCIATION, as trustee under the Indenture (defined below) (in such capacity, together with any successor or successors in such capacity, herein called the “Trustee”):

This LOAN AGREEMENT (the “Agreement”), dated as of June 1, 2022, a financing document entered into in accordance with Chapter 12 of Title 10 of the Vermont Statutes Annotated, as amended (the “Act”), between THE STATE OF VERMONT (the “State”), acting by and through the VERMONT ECONOMIC DEVELOPMENT AUTHORITY, a body corporate and politic and a public instrumentality of the State created under the Act (the “Issuer”), and CASELLA WASTE SYSTEMS, INC., a corporation duly organized and existing under the laws of the State of Delaware (the “Company”);
