This letter supplements the letter dated March 9, 2000 (the "Letter") between Palmilla Ventures Limited Partnership and the Company regarding the subject matter hereof. The undersigned Palmilla Ventures Limited Partnership in March 1999 (the "Partnership") surrendered to the Company 10,000,000 shares ("Shares") of common stock of the Company, no par value ("Common Stock").
