This letter is to confirm that the undersigned, The Galaxy VIP Fund, a Massachusetts business trust (the "Trust"), has agreed that the Distribution Agreement between the Trust and Provident Distributors, Inc. (formerly known as First Data Investor Services Group, Inc.)
