THIS NON-QUALIFIED STOCK OPTION AGREEMENT (this "Agreement") is made as of the 20th day of October, 2000 (the "Effective Date"), between Southland Financial, Inc., a Nevada corporation (hereinafter called the "Company"), and [NAME OF OPTIONEE] (hereinafter called the "Optionee"). The option granted by this Agreement is not intended to qualify as an incentive stock option within the meaning of Section 422 of the Internal Revenue Code of 1986, as amended (the "Code").
