(the "Company") entered into an Agreement and Plan of Merger (the "Merger Agreement") with Illinois Tool Works Inc., a Delaware corporation ("Parent") and Dudley Acquisition Inc. (the "Purchaser"), Parent's wholly owned subsidiary, pursuant to which Parent and the Purchaser have agreed to acquire the Company.
