This EXECUTIVE CHANGE IN CONTROL SEVERANCE BENEFITS AGREEMENT (the "Agreement") is entered into as of the day of , 2001 (the "Effective Date"), between ("Executive") and ONYX PHARMACEUTICALS, INC.
