THIS AGREEMENT AND PLAN OF MERGER dated as of December 3, 2001, is made and entered into by and among A.D.A.M., INC., a Georgia corporation ("Parent"), IM ACQUISITION SUB, INC., a Massachusetts corporation and wholly-owned subsidiary of Parent ("Merger Sub"), and INTEGRATIVE MEDICINE COMMUNICATIONS, INC., a Massachusetts corporation (the "Company").
