In connection with your resignation as Chief Executive Officer and President of Intrusion, Inc. (the "COMPANY") effective November 28, 2001 (the "TERMINATION DATE"), the Company is offering you a severance package in exchange for your agreement to release the Company from any and all claims (this "AGREEMENT").
