THIS EMPLOYMENT AGREEMENT (the "Agreement") is made and entered into as of December 3, 2001, by and among Aegis Communications Group, Inc., a Delaware corporation (the "Parent"), Advanced Telemarketing Corporation, a Nevada corporation ("ATC"), IQI, Inc., a New York corporation ("IQI") (together, ATC and IQI are referred to as the "Company"), and Lee O. Waters ("Employee").
