THIS COMMON STOCK PURCHASE AGREEMENT (this "Agreement") is entered into effective as of February 25, 2002, by 4-D Neuroimaging, a California corporation (the "Company"), and the investor(s) listed on Schedule A (each, an "Investor" and collectively, the "Investors"). THIS AGREEMENT (hereinafter the "Agreement"), is made and entered into as of the 1st day of February, 2002 by and between 4-D NEUROIMAGING, a corporation organized and existing under the laws of California (hereinafter "Manufacturer") and ELEKTA INSTRUMENTS, INC., a corporation organized and existing under the laws of Georgia (hereinafter "Distributor").
