THIS WARRANT AND THE SHARES OF COMMON STOCK ISSUABLE UPON THE EXERCISE HEREOF CAN BE TRANSFERRED ONLY IN COMPLIANCE WITH THE SECURITIES ACT OF 1933, AS AMENDED, AND APPLICABLE STATE SECURITIES LAWS. THIS WARRANT AND SUCH SHARES MAY NOT BE SOLD, TRANSFERRED OR ASSIGNED IN THE ABSENCE OF AN EFFECTIVE REGISTRATION STATEMENT, UNLESS, IN THE OPINION OF COUNSEL TO THE COMPANY, SUCH REGISTRATION IS NOT THEN REQUIRED.

Upon counter-execution by Ceramco Inc. ("You" or "you"), this letter will constitute the legally binding agreement between you and the Company (the "Agreement") to consummate the exchange of the Shares for the consideration and on the terms described below (collectively, the "Transaction"), subject only to the conditions expressly set forth below. The Shares constitute all of the authorized, issued and outstanding shares of the Series A Preferred Stock.
