("Holder"), is entitled, upon the terms and subject to the conditions hereinafter set forth, at any time on or after the date hereof and prior to the date ten year(s) from date hereof (the "Expiration Time"), but not thereafter, to acquire from the Company, in whole or in part, shares of Common Stock of the Company ("Stock") in accordance with Section 1 below.
