This UNIVISION STOCKHOLDER SUPPORT AGREEMENT (this "Agreement") is made as of June 11, 2002, by and among Univision Communications Inc., a Delaware corporation ("Univision"), Hispanic Broadcasting Corporation, a Delaware corporation ("HBC"), and A. Jerrold Perenchio (the "Stockholder").

This AGREEMENT AND PLAN OF REORGANIZATION (this "Agreement"), dated as of June 11, 2002, is by and among Univision Communications Inc., a Delaware corporation ("Univision"), Hispanic Broadcasting Corporation, a Delaware corporation ("HBC"), and Univision Acquisition Corporation, a Delaware corporation and a direct wholly-owned subsidiary of Univision ("Merger Sub").

This HBC STOCKHOLDER SUPPORT AGREEMENT (this "Agreement") is made as of June 11, 2002, by and among Univision Communications Inc., a Delaware corporation ("Univision"), Univision Acquisition Corporation, a Delaware corporation and a wholly owned subsidiary of Univision (the "Merger Sub"), and the Stockholders named on Exhibit A hereto (each a "Stockholder").
