MEMBERSHIP INTEREST PURCHASE AGREEMENT, dated as of September 9, 2002, among (i) HARRIS CORPORATION, a Delaware corporation ("Harris"), (ii) THALES AVIONICS IN-FLIGHT SYSTEMS, LLC, a Delaware limited liability company ("Thales"), (iii) IN-FLIGHT LIQUIDATING, LLC, a Delaware limited liability company ("Class II Member"), (iv) GLENN S. LATTA ("Individual A"), (v) JEFFREY A.
