THIS SEVERANCE AND CHANGE OF CONTROL AGREEMENT (the "Agreement") is made effective as of September 8, 2002, between JNI Corporation, a Delaware corporation ("JNI"), and Russell Stern ("Employee"), subject to JNI's Board of Directors' approval.
