EMPLOYMENT AGREEMENT dated as of July 30, 2001, between Barbara Duncan (the "Executive") and DOV Pharmaceutical, Inc., a New Jersey corporation (the "Company"). This employment agreement will be rescinded should the Company not close on its contemplated Series D Convertible Preferred Stock financing before September 30, 2001.

This Confidential Patent License, Settlement, and Special Mutual Release Agreement is made as of March , 2003, by and between DOV Pharmaceutical, Inc., a Delaware corporation having its principal place of business at 433 Hackensack Avenue, Hackensack, New Jersey, U.S.A. 07601 ("DOV"), Biovail Laboratories Incorporated, a Barbados corporation whose head office is located at Chelston Park, Building 2, Collymore Rock, St. Michael BH1, Barbados, West Indies ("Biovail Labs"), and Biovail Corporation, a Canadian corporation whose head office is located at 7150 Mississauga Road, Mississauga, Ontario L5L 1J9, Canada ("Biovail").

Whereas Maker issued to EIS its convertible exchangeable promissory note dated January 21, 1999, in the principal amount of $8,010,000 (the "Note") in connection with a joint venture transaction encompassing a securities purchase agreement between EIS and DOV ("SPA") and a joint development and operating agreement ("JDOA") among Elan, EIS, DOV, DOV Newco and Nascime, each dated as of January 19, 1999;

Consent And Agreement (this "Agreement") dated December 13, 2002 (the "Effective Date") is made by and among American Cyanamid Company, 5 Giralda Farms, Madison, New Jersey 07940 ("ACY"), and Neurocrine Biosciences, Inc., 10555 Science Center Drive, San Diego, California 92121 ("Neurocrine"), and DOV Pharmaceutical, Inc., 433 Hackensack Avenue, Hackensack, New Jersey 07601 ("DOV"). ACY, Neurocrine and DOV may each be referred to herein individually as a "Party" and collectively as the "Parties".
