This Exclusive License Agreement (this “Agreement”) is made and entered into as of August 9, 2007 (the “Effective Date”), by and between Papa John’s International, Inc. (the “Company”) and John H. Schnatter (the “Licensor”).

Papa John’s International, Inc. (the “Company”) and John H. Schnatter (the “Chairman”) (each a “Party” and collectively, the “Parties”), who is the founder of the Company, hereby agree to the following terms with respect to his service as Chairman of the Board of Directors of the Company (this “Agreement”). The terms of this Agreement shall take effect as of the date first written above and shall remain in effect so long as the Chairman is a director of the Company and remains Chairman as elected by the Company’s Board of Directors.

Papa John’s International, Inc. (the “Company”) and John H. Schnatter (the “Founder”) (each a “Party” and collectively, the “Parties”) hereby agree to the following terms with respect to his service as Founder (this “Agreement”). The terms of this Agreement shall take effect as of the date first written above and shall remain in effect until terminated pursuant to Section 4 hereof.
