PaineWebber Incorporated ("PaineWebber") is pleased to act as exclusive financial advisor to PharmaGenics, Inc. (the "Company") and its affiliates in connection with any proposed sale transaction involving the Company and another party (a "Purchaser"), including Genzyme Corporation or any of its subsidiaries or affiliates ("Genzyme"). This Agreement supersedes in its entirety the engagement letter dated August 15, 1996. This Agreement confirms the terms of our engagement.
