In consideration for Eldorado incurring the cost and expense of examining whether the Purchaser should initiate and make the Bid, and for other good and valuable consideration (the receipt and sufficiency of which are hereby acknowledged), the parties agree as follows:

In consideration of Eldorado entering into an arrangement agreement (the “Arrangement Agreement”) with European Goldfields dated December 18, 2011 providing for a business combination involving Eldorado, European Goldfields and the shareholders of European Goldfields by way of an arrangement pursuant to Section 195 of the Business Corporations Act (Yukon) (the “Arrangement”), this agreement (the “Agreement”) sets out the terms on which each of the securityholders of European Goldfields executing this agreement (each, a “Securityholder”) undertakes to take certain actions and do certain things to support the Arrangement.
