This AGREEMENT AND PLAN OF MERGER (the “Agreement”) is made as of this 23rd day of December, 2011 by and between GENTOR RESOURCES, INC., a Florida Corporation (“Parent”) and GENTOR RESOURCES (WYOMING) INC., a Wyoming corporation (“Subsidiary”).
