The purpose of this letter agreement is to confirm the terms and conditions of the Transaction entered into between Citibank, N.A. (“Dealer”) and Sun Communities, Inc. (“Counterparty”) on the Trade Date specified below (the “Transaction”). This letter agreement constitutes a “Confirmation” as referred to in the ISDA Master Agreement specified below.

Sun Communities, Inc., a corporation organized under the laws of the State of Maryland (the “Company”), Sun Communities Operating Limited Partnership, a Michigan limited partnership (the “Operating Partnership”), Citigroup Global Markets Inc., in its capacity as agent for Citibank, N.A. (the “Forward Counterparty”) (in such agency capacity as seller of Common Stock (as defined below), the “Forward Seller”), at the request of the Company in connection with the Forward Sale Agreement (as defined below), confirm their agreement with each of the Underwriters named in Schedule II hereto (collectively, the “Underwriters”), for whom Citigroup Global Markets Inc. and BofA Securities, Inc. are acting as the representatives (in such capacity, if and as applicable, the “Representatives”) with respect to (i) the issuance and sale by the Company and the purchase by the Underwriters, acting severally and not jointly, of an aggregate of 4,000,000 shares (the “Company Initial Underwritten Securities”)
