WHEREAS, the Borrower, Sinclair Broadcast Group, Inc., a Maryland corporation (the “Holding Company”) and the Subsidiary Guarantors are parties to the Fifth Amended and Restated Credit Agreement dated as of April 9, 2013 (as heretofore modified and supplemented and in effect on the Sixth Restatement Effective Date, the “Existing Credit Agreement”) with several banks and other financial institutions or entities parties as lenders thereto and JPMorgan Chase Bank, N.A., as administrative agent.
