THIS AGREEMENT originally made and entered into as of the 13th day September, 2011, by and among Nicholas Fund, Inc., Nicholas High Income Fund, Inc., Nicholas II, Inc., Nicholas Equity Income Fund, Inc. Nicholas Limited Edition, Inc., Nicholas Money Market Fund, Inc. and Nicholas Family of Funds, Inc., each a Maryland corporation (each a “Company”, collectively the “Companies”) and U.S. Bank National Association, a national banking association organized and existing under the laws of the United States of America (the “Custodian”) is hereby amended and restated as of September 12, 2013.
