THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of July 31, 2007, by and between RICOCHET NETWORKS, INC., a Delaware corporation (“Seller”), CIVITAS WIRELESS SOLUTIONS, LLC, a Colorado limited liability company (“Buyer”), and is joined in by JUDI A. THIS LICENSE AGREEMENT (this “Agreement”) is made as of July 31, 2007 by and between Terabeam, Inc., a Delaware corporation with its principal executive offices located at 2115 O’Nel Drive, San Jose, CA 95131 (“Licensor”), and Civitas Wireless Solutions, LLC, a Colorado limited liability company with its principal executive offices located at 1400 Glenarm Place, Suite 100, Denver, CO 80202 (“Licensee”).
