THIS INCENTIVE STOCK OPTION AGREEMENT (this “Agreement”), is made and entered into this 30th day of April, 2012 (the "Granting Date"), by and between Duckwall-ALCO Stores, Inc., a Kansas corporation (the "Company"), and Edmond C. Beaith (the "Optionee").
