THIS AMENDED AND RESTATED CHANGE IN CONTROL AGREEMENT, dated as of December 21, 2010, is made by and between Tractor Supply Company, a Delaware corporation (the “Company”), and James F. Wright (the “Executive”) and amends and restates that certain Change in Control Agreement made by and between the Company and Executive dated August 1, 2002, as amended.

Wright (the “Executive”) and amends and restates that certain Employment Agreement dated as of July 12, 2004, as amended.
