THIS SECOND AMENDED AND RESTATED CHANGE IN CONTROL AGREEMENT, dated as of June 6, 2012, is made by and between Tractor Supply Company, a Delaware corporation (the “Company”), and James F. Wright (the “Executive”) and amends and restates that certain Amended and Restated Change in Control Agreement made by and between the Company and Executive dated December 21, 2010.
