THIS AMENDED AND RESTATED CHANGE IN CONTROL AND TERMINATION AGREEMENT (the “Agreement”), to be effective as of the 1st day of January 2007, is made and entered into by and between EQUITY INNS SERVICES, INC. (the “Company”), a corporation organized and existing under the laws of the State of Tennessee, EQUITY INNS, INC. (the “Parent”), a corporation organized and existing under the laws of the State of Tennessee, and J. Ronald Cooper, (the “Executive”). This amended and restated agreement supersedes all previous employment agreements with the Executive.

Silver (the “Participant”), is made pursuant and subject to the provisions of the Equity Inns, Inc. 1994 Stock Incentive Plan (the “Plan”), a copy of which has been made available to the Participant. All terms used herein that are defined in the Plan have the same meaning given them in the Plan.

McNeill, Jr. (the “Participant”), is made pursuant and subject to the provisions of the Equity Inns, Inc. 1994 Stock Incentive Plan (the “Plan”), a copy of which has been made available to the Participant. All terms used herein that are defined in the Plan have the same meaning given them in the Plan. This amended stock award agreement supersedes the February 1, 2006 stock award agreement.
