THIS FIVE YEAR CREDIT AGREEMENT (this “Credit Agreement”), dated as of June 9, 2006, is entered into among WPS RESOURCES CORPORATION, a Wisconsin corporation (the “Borrower”), the Lenders (as defined herein), WACHOVIA BANK, NATIONAL ASSOCIATION and CITIGROUP GLOBAL MARKETS INC., as Co-Lead Arrangers and Book Managers, CITIBANK, N.A., as Syndication Agent, U.S. BANK NATIONAL ASSOCIATION, BANK OF AMERICA, N.A. and JPMORGAN CHASE BANK, N.A., as Co-Documentation Agents, and WACHOVIA BANK, NATIONAL ASSOCIATION, as administrative agent for the Lenders (in such capacity, the “Agent”).
