This Stockholders Rights Agreement (this "Rights Agreement") is made and entered into as of May 26, 2010, by and between OceanFreight Inc., a Marshall Islands corporation (the "Company"), and American Stock Transfer & Trust Company, LLC as Rights Agent (the "Rights Agent"), amending and restating the rights agreement previously entered into by and between the Company and Rights Agent on April 30, 2008.
