THIS SECURITIES PURCHASE AGREEMENT (this "Agreement"), dated as of November 22, 2016, is between TOP SHIPS, INC., a company incorporated under the laws of the Republic of the Marshall Islands, with headquarters located at 1 Vas. Sofias & Meg. Alexandrou Street, 151 24 Maroussi, Athens, Greece (the "Company"), and each of the investors listed on the Schedule of Buyers attached hereto (individually, a "Buyer" and collectively the "Buyers").
