This COMMON STOCK PURCHASE AGREEMENT, made and entered into as of the 3rd day of April, 2017 (this "Agreement"), by and between Kalani Investments Limited, a company organized and existing under the laws of the British Virgin Islands (together with its investment managers and investment advisors, the "Investor"), DryShips Inc., a corporation organized and existing under the laws of the Republic of the Marshall Islands (the "Company"), and, solely with respect to Section 2.14, Herrick Ventures Limited, a company organized and existing under the laws of the British Virgin Islands ("Herrick"). Capitalized terms used but not defined herein shall have the meanings ascribed to such terms in Annex A hereto.
