AMENDMENT No. 1 (the “Amendment”) dated as of June , 2020 to the Amended and Restated Deposit Agreement, dated as of November 19, 2004, as amended (the "Deposit Agreement"), by and among (i) New World Development Company Limited, a company incorporated under the laws of Hong Kong (and together with any of its successors, collectively referred to as the "Company"), (ii) Deutsche Bank Trust Company Americas, an indirect wholly owned subsidiary of Deutsche Bank A.G., acting in its capacity as depositary, and any successor depositary hereunder (the "Depositary"), and (iii) all Owners and Beneficial Owners of American Depositary Shares evidenced by American Depositary Receipts issued thereunder.
