AMENDMENT No. 1 dated as of , 2020 (the “Amendment”) to the Amended and Restated Deposit Agreement, dated as of December 12, 2005 (the “Deposit Agreement”) by and among (i) SSE plc (formerly known as Scottish & Southern Energy plc), a public limited company incorporated in Scotland with company number SC117119 (the “Company”), (ii) Deutsche Bank Trust Company Americas, an indirect wholly owned subsidiary of Deutsche Bank A.G., acting in its capacity as depositary, and any successor depositary hereunder (the “Depositary”), and (iii) all Holders from time to time of American Depositary Receipts issued thereunder.
