REGISTRATION RIGHTS AGREEMENT (as it may be amended, supplemented or otherwise modified from time to time in accordance with the terms hereof, this “Agreement”), dated as of August 10 , 2022, made by and among DIANA SHIPPING INC., a Marshall Islands corporation (the “Company”), SEA TRADE HOLDINGS INC., a Marshall Islands corporation (“Holdings” and, collectively with the Sellers and the Permitted Transferees (each as defined below) the “Sea Trade Parties”).
