This EMPLOYMENT AGREEMENT (this “Agreement”) dated as of February 13, 2017 among Heartland Financial USA, Inc., a Delaware corporation (the “Company”), Citywide Banks of Colorado, Inc., a Colorado corporation (“Citywide”), Centennial Bank and Trust (“Centennial”), a Colorado banking corporation and wholly owned subsidiary of the Company, and Kevin G. Quinn (the “Executive”), a resident of Colorado.

This Shareholder Voting Agreement (this “Agreement”) is made and entered into as of February 13, 2017, by and among Heartland Financial USA, Inc., a Delaware corporation (“Heartland”), Citywide Banks of Colorado, Inc., a Colorado corporation (“Citywide”), and the other persons who are signatories hereto (referred to herein individually as a “Shareholder” and collectively as the “Shareholders”).
