SACHS, INC., a California corporation ("Company"), The Sachs Family 1983 Trust, dated September 12, 1983 (the "Sachs Family Trust"), The Jeffrey Dean Sachs Irrevocable Trust, dated October 7, 2002 (the "J.D.S. Trust"), The Sharon Carole Irrevocable Trust, dated October 7, 2002 (the "S.C. Trust"), The Jeanette Sachs Phelps Irrevocable Trust, dated October 7, 2002 (the "J.S.P.
