The board of directors of Claude has unanimously determined, following the receipt and review of a recommendation from the Special Committee, that the business combination to be effected by way of the Plan of Arrangement is in the best interests of Claude and that, on the basis of an opinion from its financial advisors, the Consideration per Claude Share to be received by Claude Shareholders pursuant to the Arrangement is fair, from a financial point of view, to the Claude Shareholders. The board of directors of Claude has approved the transactions contemplated by this Agreement and unanimously determined to recommend approval of the Plan of Arrangement to the Claude Shareholders.
