This ASSET PURCHASE AGREEMENT is entered into on this 11th day of June, 2010 (the “Execution Date”), by and among GLOBALOPTIONS SERVICES, INC, a Delaware corporation (“Purchaser”), GLOBALOPTIONS GROUP, INC., a Delaware corporation (“Parent”) and GLOBALOPTIONS, Inc., a Delaware corporation and wholly-owned subsidiary of the Parent (“Seller” and together with Parent, “Sellers” and Sellers together with Purchaser, each a “Party” and collectively, “Parties”).
