This letter will confirm our agreement (the “Agreement”) with respect to your employment as Chief Financial Officer (“CFO”) of AMERI AND PARTNERS INC (the “Company”), a subsidiary of AMERI HOLDINGS, INC. (“Ameri”), having its principal place of business at having its principal place of business at 5000 Research Court, Suite 750, Suwanee, Georgia 30024. This letter will become effective as of the date it is fully executed (the “Effective Date”), which date shall be the date first written above. This agreement supersedes any prior written and verbal commitments or agreements.
