AMENDED AND RESTATED FIVE-YEAR CREDIT AGREEMENT (this “Agreement”) dated as of June 9, 2006 among PPL ENERGY SUPPLY, LLC, a Delaware limited liability company (the “Borrower”), the LENDERS party hereto from time to time, WACHOVIA BANK, NATIONAL ASSOCIATION, as Administrative Agent and Issuing Lender, BARCLAYS BANK PLC and CITIBANK, N.A., as Syndication Agents, WACHOVIA CAPITAL MARKETS, LLC, BARCLAYS CAPITAL (the investment banking division of Barclays Bank PLC) and CITIGROUP GLOBAL MARKETS, INC., as Joint Lead Arrangers, and THE BANK OF NOVA SCOTIA AND BNP PARIBAS, as Documentation Agents.
