This Consulting Agreement (this "Agreement") is entered into as of September 3, 2015 ("Effective Date"), by and between ITT Educational Services, Inc. (the "Company"), and Daniel M. Fitzpatrick ("Consultant") (the Company and Consultant will sometimes hereinafter be referred to collectively as the "parties" and singularly as a "party").
